1. Acceptance of Terms

1.1 Parties. “YXY”, “we”, “Supplier” means Dongguan Yuelong Electronic Technology Co., Ltd., registered at Building 2, Dushi Valley, Fenggang Town, Dongguan, Guangdong, PRC, including its Shenzhen office (901, Huanan Development Center, Pinghu Street, Longgang District, Shenzhen) and its YXY Electronics operations. “Buyer”, “you” means the B2B customer, distributor or OEM that requests a quotation, places a purchase order (PO) or issues a tooling order.

1.2 Acceptance. These Terms constitute the entire agreement for B2B supply via yxydz.com, email, WeChat, WhatsApp or written PO. Acceptance occurs upon the earliest of: (a) written PO confirmation, (b) payment of deposit or prepayment, (c) approval of the proforma invoice (PI), (d) written approval of drawings or samples, or (e) acceptance of delivery. If Buyer issues a PO with conflicting terms, our order confirmation or PI prevails unless expressly agreed in writing by YXY.

1.3 Scope. Industrial waterproof connectors (RJ45, M-series M12/M16/M19/M25, Aviation / Push-Pull, Starlink), junction boxes, cable assemblies and injection-molded / over-molded harness solutions, plus related OEM/ODM engineering (DFM, prototyping, DV/PV testing). Purchases made through Alibaba, DigiKey or Amazon storefronts are additionally governed by that marketplace's terms.

1.4 B2B contract. YXY operates as a B2B OEM/ODM factory. Warranty, return and liability terms herein reflect industrial supply practice and differ from consumer retail law. The minimum order quantity is typically 10 pieces per SKU (engineering samples excepted). Quotations and PIs are bilingual (EN/ZH) where required; in case of conflict the English version prevails unless the transaction is documented as domestic PRC.

2. Quotes & Pricing

2.1 Basis: EXW Shenzhen. Unless a PI states otherwise, all prices are quoted EXW (Ex Works) Shenzhen, China (Incoterms® 2020), in USD (CNY on request). EXW prices exclude freight, insurance, export customs declaration, destination duties, VAT/GST and any payment-gateway fees. Optional terms (FOB Shenzhen/Yantian, CIF, DAP, DDP) are available on request and, where agreed, itemised on the PI.

2.2 Validity: 30 days. Each formal quotation (PDF with YXY stamp, quotation number, date and validity block) is valid for 30 calendar days from issue. After expiry, pricing and lead time are subject to reconfirmation — in particular where copper, PA66, silicone, electroplating or exchange rates have moved more than 3%.

2.3 Volume tiers

Volume pricing applies per SKU per PI line item. Custom cable length, overmolding and special packaging are quoted separately.

2.4 Inclusions. Unit prices include product per approved drawing, routine QC (continuity, hi-pot where specified, dimensional sampling and IP68 spot-check on samples) and standard export packing. Not included: custom tooling / molds, certifications ordered at Buyer's request (UL file extension, TUV witness testing), retail or bar-coded packaging, warehousing, freight, insurance, duties and taxes.

2.5 Material & FX adjustment. Where a PI specifies a copper-index clause, YXY may reconfirm pricing if LME copper or engineering-resin settlement exceeds ±6% between quotation and deposit date. Buyer may lock pricing by paying the deposit within the 30-day validity window. Obvious typographical or configuration errors in a quotation are subject to correction before PI confirmation.

3. Orders & Payment

3.1 Order formation. Buyer issues a PO referencing the quotation and PI numbers, with SKU, revision, quantity, delivery term and ship-to details. YXY confirms via stamped PI / order confirmation. The order is binding upon Buyer's deposit, prepayment or written PI acceptance. Changes after confirmation (quantity, cable length, labeling, packing) require a written change order; lead time and price delta are reconfirmed.

3.2 Payment terms

3.3 Methods. (a) TT / bank transfer to Dongguan Yuelong's corporate account — bank details are stated on the PI only; Buyer bears origin bank charges. (b) PayPal is accepted for samples, small lots and deposits where the PI allows it; PayPal transactions attract a 4.4% + fixed handling surcharge borne by Buyer and shown as a separate line on the PI. YXY may require TT for orders above USD 5,000. Production is scheduled only after the deposit is received and credited.

3.4 Deposit & cancellation. The deposit is non-refundable once material procurement or tooling has commenced. Cancellation after confirmation requires written consent; Buyer is liable for costs already incurred (materials, tooling, work in progress, inspections) plus a 15% administrative charge. Custom-cabled or custom-printed assemblies cannot be cancelled once in production.

3.5 Balance & shipment hold. The balance is due before shipment. Finished, QC-passed goods are held up to 15 days pending balance receipt (storage free for the first 7 days, thereafter at cost). If the balance remains unpaid more than 30 days after the ready notice, YXY may treat the order as cancelled and recover costs from the deposit. Overdue amounts accrue interest at 1.0% per month, and accounts more than 15 days overdue may pause current and future lots.

3.6 Taxes. EXW/FOB prices exclude VAT, GST and destination import duties. Buyer is importer of record unless DDP is expressly agreed and priced. Withholding taxes, if any, are for Buyer's account.

3.7 Verify payment details. Always confirm any bank-detail or PayPal change through a second channel (phone or email to waheed@yxydz.com). YXY never changes bank details by chat alone and is not liable for funds sent to unverified accounts.

4. Lead Time & Delivery

4.1 Scheduling. Lead time is counted from the later of (a) credited deposit / prepayment and (b) written approval of final drawings, BOM, label artwork and packing specification. Buyer-caused delays (approvals, free-issue materials, change requests) extend lead time day-for-day. DFM feedback on new drawings is returned within 24 hours.

• DFM feedback: within 24 hours of receiving drawings.
• In-stock SKUs: dispatch within 24–48 hours of cleared payment, with QC documents and photos the same day.
• Standard production: 7–10 working days using existing tooling (excludes cables over 5 m and special colors).
• Custom / ODM with new tooling: 15–25 working days including T0 sample submission and approval cycle.
• Tooling only: 12–20 working days; T0 to T1 iterations count separately.

4.2 Delivery terms & risk. Default is EXW Shenzhen. Where FOB/CIF/DAP/DDP is agreed, risk transfers per Incoterms® 2020. Unless otherwise agreed, YXY arranges shipment via DHL / FedEx / UPS (express) or forwarder (bulk). Title transfers on full payment; risk transfers on handover to the carrier at the nominated point.

4.3 Partial shipments & tolerances. Unless the PO expressly prohibits it, YXY may deliver in instalments, each invoiced and payable separately. Bulk cable assemblies carry a ±3% quantity tolerance (cut-length consumption) unless the PI states an exact count; invoicing follows the actual shipped quantity. Minor packing substitutions that do not affect form, fit or function are permitted.

4.4 Force majeure. Delivery dates are estimates. YXY is not liable for delay caused by events beyond reasonable control, including raw-material shortages, customs holds, carrier disruption, epidemic controls, power rationing, fire, flood or government action. Affected orders will be notified promptly with a revised schedule. If Buyer delays pickup or balance payment more than 15 days after the ready notice, storage at RMB 0.6 / CBM / day may be charged; goods held more than 45 days may be resold with credit for the order value less costs.

5. Inspection & Warranty

5.1 Inspection window: 15 days. Buyer shall inspect goods within 15 calendar days of receipt (quantity, model, appearance, labeling, documentation). Any discrepancy, shortage or visible damage must be notified in writing with photos, packing labels and tracking evidence within that window. Failure to notify within 15 days deems the lot accepted as to visible conformity; latent defects remain subject to warranty below.

5.2 Warranty period: 12 months. YXY warrants that products, when used, installed and maintained per datasheets and installation instructions, will be free from defects in material and workmanship and will conform to the approved specification and IP rating for 12 months from the shipment date (B/L or AWB date). Extended terms may be agreed in writing for strategic volume agreements.

5.3 IP68 qualification — IEC 60529

Waterproof integrity is qualified per IEC 60529 IP68. Unless a datasheet states a higher duration or depth, standard qualification is continuous immersion at 1.5 m depth for 30 minutes (plus 24-hour sampling on qualification builds), followed by dielectric / continuity and visual inspection. Routine production sampling follows AQL 1.0 on IP spot-checks, with 100% continuity and hi-pot testing where specified. Test records and QC photos are retained per lot and available on request.

• IP68 applies to the mated and properly torqued connector or assembly with the correct cable OD and gland seal; unmated, improperly terminated or mechanically damaged assemblies are not covered.
• Chemical immersion, high-pressure jetting (IP69K), submersion beyond 1.5 m or operation outside rated temperature / voltage degrades the rating — confirm application specifics before selection.

5.4 Remedies & RMA. Upon a valid warranty claim (lot code, date code, photos, application context and, where needed, return of failed samples via RMA), YXY will at its option repair, replace or credit the defective quantity at EXW Shenzhen. Replaced goods carry the remainder of the original warranty. Buyer bears return freight unless the defect is confirmed; YXY bears replacement freight on confirmed defects. Warranty is return-to-factory; field service is available by separate quotation.

6. Intellectual Property & Confidentiality

6.1 Ownership. Background IP — standard connector designs, know-how, process methods and YXY part numbers — remains the property of YXY. Foreground IP in Buyer-specific custom designs belongs to Buyer only where the PI expressly assigns it and all fees are paid in full; otherwise YXY retains a non-exclusive right to use general know-how.

6.2 Confidentiality — 5-year NDA. Technical drawings, STEP files, DFM notes, BOMs, pricing tiers and tooling designs disclosed by either party are confidential for 5 years from disclosure. The receiving party shall use them only to perform the order, shall not disclose them to third parties without prior written consent, and shall restrict copies to a need-to-know basis. YXY's standard mutual NDA is countersigned on request. Buyer warrants it has the right to share any drawings it provides and that they do not infringe third-party IP.

6.3 Tooling ownership. Molds, dies and fixtures paid for under a tooling fee remain at YXY's Dongguan facility for production. Title to tooling transfers to Buyer upon full payment only where the PI states “tooling ownership transfers”; otherwise YXY owns and maintains the tooling and grants Buyer use for its orders. Tooling is stored free for 24 months after the last production run; thereafter a storage fee may apply or the tooling may be scrapped with 60 days' notice.

6.4 Non-circumvention. Buyer shall not reverse-engineer YXY's proprietary connector geometries where protected by patent or design registration, and shall not circumvent YXY to place identical custom tools directly with YXY's subcontractors for 24 months after last supply (applies to ODM-funded tooling). YXY may mark standard products with YXY branding and part numbers; Buyer-specific branding requires written approval of proofs.

7. Limitation of Liability

7.1 Cap. To the maximum extent permitted by applicable law, YXY's total aggregate liability arising out of or in connection with any order, whether in contract, tort (including negligence), strict liability or otherwise, shall not exceed the total EXW price actually paid for the specific goods giving rise to the claim. This cap does not apply where prohibited by mandatory PRC product-liability law.

7.2 Excluded losses. In no event shall YXY be liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profit, revenue, data or business opportunity, cost of cover or substitution, or liquidated damages imposed by Buyer's customers — even if advised of the possibility.

7.3 Mitigation. Buyer shall mitigate losses, including prompt inspection per Section 5.1, timely claims with evidence, and following installation instructions. Nothing herein excludes liability for death or personal injury caused by YXY's proven gross negligence or willful misconduct where such exclusion is not lawful.

7.4 Disclaimer. Except for the express 12-month warranty in Section 5, products are provided without any other warranty, express or implied, including implied warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law. Buyer is responsible for validating suitability for its end application, including mating system, cable OD, environment and regulatory compliance.

8. Governing Law & Disputes

8.1 Governing law. These Terms and any order hereunder are governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG) where its application is not mandatory.

8.2 Amicable resolution. The parties shall first attempt good-faith negotiation for 30 days after written notice of dispute (to waheed@yxydz.com and Buyer's order contact). Technical quality disputes may be referred to a mutually agreed third-party laboratory (e.g., TUV, SGS) whose factual findings on conformity shall be persuasive.

8.3 Arbitration. If negotiation fails, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC), South China Sub-Commission (Shenzhen) for arbitration under the CIETAC rules in effect at the time. The seat of arbitration is Shenzhen, the language is English, and the award is final and binding. Where the PI expressly elects litigation, the competent People's Court at YXY's domicile (Dongguan) has jurisdiction; the forum elected on the PI controls.

8.4 Notices & compliance. Notices are effective when sent to YXY at the addresses in Section 9 or to waheed@yxydz.com, and to Buyer at the PO contact address. Buyer shall comply with applicable export-control, sanctions and anti-bribery laws and shall not divert products to prohibited military or sanctioned end-uses. If any provision is held invalid, the remaining provisions continue in full effect. This version, dated December 1, 2025, supersedes prior web versions; where a signed framework agreement exists, that agreement prevails to the extent of conflict.
