1. 条款接受
1.1 缔约方。 “YXY”、“我们”、“供方”是指 深圳市永欣源电子有限公司, registered at Building 2, Dushi Valley, Fenggang Town, Dongguan, Guangdong, PRC, including its Shenzhen office (901, Huanan Development Center, Pinghu Street, Longgang District, Shenzhen) and its YXY Electronics operations. “Buyer”, “you” means the B2B customer, distributor or OEM that requests a quotation, places a purchase order (PO) or issues a tooling order.
1.2 接受。 本条款构成通过 yxydz.com、电子邮件、微信或书面采购订单进行 B2B 供货的完整协议。接受在以下最早发生的时点成立：(a) 书面订单确认，(b) 支付定金或预付款，(c) 形式发票（PI）获得确认，(d) 图纸或样品获得书面批准，或 (e) 接受交付。若买方订单含冲突条款，除非 YXY 明确书面同意，否则以我方订单确认或形式发票为准。
1.3 适用范围。 工业防水连接器（RJ45、M 系列 M12/M16/M19/M25、航空 / 推拉自锁、Starlink）、接线盒、线缆组件以及注塑 / 二次成型线束方案，以及相关的 OEM/ODM 工程服务（DFM、打样、DV/PV 测试）。通过阿里巴巴、DigiKey 或亚马逊店铺进行的采购，另受该平台条款约束。
1.4 B2B 合同。 YXY 以 B2B OEM/ODM 工厂模式运营。本文中的质保、退货与责任条款体现工业供货惯例，与消费者零售法有所不同。最小起订量通常为 每款 10 只起 (engineering samples excepted). Quotations and PIs are bilingual (EN/ZH) where required; in case of conflict the English version prevails unless the transaction is documented as domestic PRC.
2. Quotes & Pricing
2.1 贸易基准：EXW 深圳。 除非形式发票另有说明，所有报价均为 EXW（工厂交货）中国深圳（Incoterms® 2020），以美元计价（可按要求提供人民币报价）。EXW 价格不含运费、保险费、出口报关费、目的国关税、增值税/商品及服务税以及任何支付通道手续费。可按要求提供 FOB 深圳/盐田、CIF、DAP、DDP 等贸易条款，并在达成一致后于形式发票中逐项列明。
2.2 有效期：30 天。 每份正式报价单（PDF，加盖 YXY 公章，含报价单号、日期与有效期栏）有效期为 30 个自然日 自出具之日起。到期后价格与交期需重新确认 — 特别是当铜材、PA66、硅胶、电镀或汇率波动超过 3% 时。
2.3 阶梯价格
阶梯价格按形式发票中每个 SKU 的每一条明细适用。定制线缆长度、注塑成型与特殊包装另行报价。

2.4 包含内容。 单价包含按批准图纸生产的产品、常规质检（导通、约定的耐压、尺寸抽检以及样品 IP68 抽检）与标准出口包装。不包含：定制模具、买方要求追加的认证（UL 档案扩展、TÜV 目击测试）、零售或带条码包装、仓储、运费、保险费、关税与税费。
2.5 Material & FX adjustment. Where a PI specifies a copper-index clause, YXY may reconfirm pricing if LME copper or engineering-resin settlement exceeds ±6% between quotation and deposit date. Buyer may lock pricing by paying the deposit within the 30-day validity window. Obvious typographical or configuration errors in a quotation are subject to correction before PI confirmation.
3. Orders & Payment
3.1 订单成立。 Buyer issues a PO referencing the quotation and PI numbers, with SKU, revision, quantity, delivery term and ship-to details. YXY confirms via stamped PI / order confirmation. The order is binding upon Buyer's deposit, prepayment or written PI acceptance. Changes after confirmation (quantity, cable length, labeling, packing) require a written change order; lead time and price delta are reconfirmed.
3.2 付款条件

3.3 付款方式。 (a) 电汇 / 银行转账 to Shenzhen YXY's corporate account — bank details are stated on the PI only; Buyer bears origin bank charges. (b) PayPal is accepted for samples, small lots and deposits where the PI allows it; PayPal transactions attract a 4.4% + 固定手续费 由买方承担，并在形式发票上单列。5,000 美元以上订单 YXY 可能要求电汇。定金到账后方可排产。
3.4 定金与取消。 The deposit is non-refundable once material procurement or tooling has commenced. Cancellation after confirmation requires written consent; Buyer is liable for costs already incurred (materials, tooling, work in progress, inspections) plus a 15% administrative charge. Custom-cabled or custom-printed assemblies cannot be cancelled once in production.
3.5 Balance & shipment hold. 尾款应在发货前付清。已完工并检验合格的产品可最多保留 15 天等待尾款（前 7 天免费仓储，之后按成本计费）。若在备货通知后 30 天以上仍未支付尾款，YXY 可将订单视为取消并从定金中扣除相应成本。逾期款项按每月 1.0% 计息，逾期超过 15 天的账户可能暂停当前及后续批次。
3.6 税费。 EXW/FOB 价格不含增值税、商品及服务税及目的国进口关税。除非明确约定并计价为 DDP，买方为进口申报主体。如有代扣代缴税款，由买方承担。
3.7 核实收款信息。 任何银行信息或 PayPal 账户变更，请务必通过第二种渠道确认（致电或发送邮件至 waheed@yxydz.com）。YXY 绝不会仅通过聊天变更银行信息，对于汇入未核实账户的资金不承担任何责任。
4. Lead Time & Delivery
4.1 排产。 交期自以下两者中较晚者起算：(a) 定金 / 预付款到账，或 (b) 最终图纸、BOM、标签稿与包装规范获得书面确认。因买方原因造成的延误（审批、客供物料、变更要求）将按日顺延交期。新图纸的 DFM 反馈在 24 小时.
- DFM 反馈： 收到图纸后 24 小时内。
- 现货型号： dispatch within 24–48 hours of cleared payment, with QC documents and photos the same day.
- 常规量产： 7–10 working days using existing tooling (excludes cables over 5 m and special colors).
- 新开模定制 / ODM： 15–25 working days including T0 sample submission and approval cycle.
- 仅模具： 12–20 working days; T0 to T1 iterations count separately.
4.2 Delivery terms & risk. 默认 EXW 深圳. Where FOB/CIF/DAP/DDP is agreed, risk transfers per Incoterms® 2020. Unless otherwise agreed, YXY arranges shipment via DHL / FedEx / UPS (express) or forwarder (bulk). Title transfers on full payment; risk transfers on handover to the carrier at the nominated point.
4.3 分批交货与公差。 Unless the PO expressly prohibits it, YXY may deliver in instalments, each invoiced and payable separately. Bulk cable assemblies carry a ±3% quantity tolerance (cut-length consumption) unless the PI states an exact count; invoicing follows the actual shipped quantity. Minor packing substitutions that do not affect form, fit or function are permitted.
4.4 不可抗力。 Delivery dates are estimates. YXY is not liable for delay caused by events beyond reasonable control, including raw-material shortages, customs holds, carrier disruption, epidemic controls, power rationing, fire, flood or government action. Affected orders will be notified promptly with a revised schedule. If Buyer delays pickup or balance payment more than 15 days after the ready notice, storage at RMB 0.6 / CBM / day may be charged; goods held more than 45 days may be resold with credit for the order value less costs.
5. Inspection & Warranty
5.1 检验期：15 天。 买方应在 15 个自然日 of receipt (quantity, model, appearance, labeling, documentation). Any discrepancy, shortage or visible damage must be notified in writing with photos, packing labels and tracking evidence within that window. Failure to notify within 15 days deems the lot accepted as to visible conformity; latent defects remain subject to warranty below.
5.2 质保期：12 个月。 YXY 保证，在按规格书与安装说明使用、安装和维护的前提下，产品在材料与工艺上无缺陷，并符合经批准的规格与 IP 等级，期限为 自发货日起 12 个月 （自提单或空运单日期起算）。针对战略性批量合作，可另行书面约定延长账期。
5.3 IP68 认证测试 — IEC 60529
防水完整性按 IEC 60529 IP68. Unless a datasheet states a higher duration or depth, standard qualification is continuous immersion at 1.5 米水深 30 分钟 （并对认证批进行 24 小时取样），随后进行耐压 / 导通与外观检验。量产按 AQL 1.0 抽检 IP 防护，并按约定实施 100% 导通与耐压测试。测试记录与质检照片按批次留存，可应要求提供。
- IP68 适用于 插合并按扭矩要求锁紧 connector or assembly with the correct cable OD and gland seal; unmated, improperly terminated or mechanically damaged assemblies are not covered.
- 化学浸泡、高压喷射（IP69K）、超过 1.5 m 的浸水，或在额定温度 / 电压范围外使用，都会降低防护等级 — 选型前请确认具体应用条件。
5.4 补救措施与退换货。 在有效质保索赔（批次码、日期码、照片、应用场景，必要时通过 RMA 退回失效样品）成立时，YXY 将自行选择 维修、更换或冲抵货款 以 EXW 深圳计价的不合格品数量。更换后的产品延续原质保剩余期限。请联系 waheed@yxydz.com 或 微信：WaheedAnogh with the order number and failure description; an RMA is issued within 2 working days. Buyer bears return freight unless the defect is confirmed; YXY bears replacement freight on confirmed defects. Warranty is return-to-factory; field service is available by separate quotation.
6. 知识产权与保密
6.1 所有权。 Background IP — standard connector designs, know-how, process methods and YXY part numbers — remains the property of YXY. Foreground IP in Buyer-specific custom designs belongs to Buyer only where the PI expressly assigns it and all fees are paid in full; otherwise YXY retains a non-exclusive right to use general know-how.
6.2 保密 — 5 年保密协议。 任何一方披露的技术图纸、STEP 文件、DFM 说明、BOM、价格阶梯与模具设计均 保密期 5 年 免受披露。接收方仅可为履行订单而使用上述信息，未经事先书面同意不得向第三方披露，且复制份数以"确需知悉"为限。YXY 的标准双向保密协议可应要求会签。买方保证其有权分享所提供的任何图纸，且该等图纸不侵犯第三方知识产权。
6.3 模具所有权。 Molds, dies and fixtures paid for under a tooling fee remain at YXY's Dongguan facility for production. Title to tooling transfers to Buyer upon full payment only where the PI states “tooling ownership transfers”; otherwise YXY owns and maintains the tooling and grants Buyer use for its orders. Tooling is stored free for 24 months after the last production run; thereafter a storage fee may apply or the tooling may be scrapped with 60 days' notice.
6.4 禁止规避。 Buyer shall not reverse-engineer YXY's proprietary connector geometries where protected by patent or design registration, and shall not circumvent YXY to place identical custom tools directly with YXY's subcontractors for 24 months after last supply (applies to ODM-funded tooling). YXY may mark standard products with YXY branding and part numbers; Buyer-specific branding requires written approval of proofs.
7. 责任限制
7.1 责任上限。 在适用法律允许的最大范围内，YXY 因任何订单引起或与之相关的全部累计责任，无论是基于合同、侵权（包括过失）、严格责任或其他，均不超过 引致索赔的特定货物实际支付的 EXW 总价. This cap does not apply where prohibited by mandatory PRC product-liability law.
7.2 除外损失。 在任何情况下，YXY 均不对间接、附带、特殊、后果性、惩罚性或惩戒性损害负责，亦不对利润、收入、数据或商业机会损失、替代采购成本，或买方客户施加的违约金负责 — 即使已被告知该等可能性。
7.3 减损义务。 买方应采取减损措施，包括按第 5.1 条及时检验、凭证据及时索赔，并遵守安装说明。在法律允许的范围内，本条款不排除 YXY 因已证实的重大过失或故意不当行为造成死亡或人身伤害的责任。
7.4 免责声明。 除第 5 条明确的 12 个月质保外，在法律允许的最大范围内，产品不附带任何其他明示或默示担保，包括对适销性和特定用途适用性的默示担保。买方负责验证产品对其最终应用的适用性，包括插合系统、线缆外径、环境与法规符合性。
8. 适用法律与争议解决
8.1 适用法律。 本条款及其项下的任何订单均受 中华人民共和国法律，不适用冲突法规则；在非强制适用的情况下，排除《联合国国际货物销售合同公约》（CISG）的适用。
8.2 友好协商。 双方应在书面争议通知（发送至 waheed@yxydz.com 及买方订单联系人）后先行进行 30 天善意协商。技术质量争议可提交双方共同认可的第三方实验室（如 TÜV、SGS），其关于符合性的事实认定具有说服力。
8.3 仲裁。 协商不成时，任何一方可将争议提交至 中国国际经济贸易仲裁委员会华南分会（深圳） for arbitration under the CIETAC rules in effect at the time. The seat of arbitration is Shenzhen, the language is English, and the award is final and binding. Where the PI expressly elects litigation, the competent People's Court at YXY's domicile (Dongguan) has jurisdiction; the forum elected on the PI controls.
8.4 Notices & compliance. Notices are effective when sent to YXY at the addresses in Section 9 or to waheed@yxydz.com, and to Buyer at the PO contact address. Buyer shall comply with applicable export-control, sanctions and anti-bribery laws and shall not divert products to prohibited military or sanctioned end-uses. If any provision is held invalid, the remaining provisions continue in full effect. This version, dated December 1, 2025, supersedes prior web versions; where a signed framework agreement exists, that agreement prevails to the extent of conflict.
